These Terms & Conditions govern the use of the JDMWEBS website and the products and services provided by JDMWEBS. By requesting, ordering or using our products or services, you agree to these Terms & Conditions, unless otherwise agreed in writing.
1. ABOUT JDMWEBS
JDMWEBS provides digital products and services including website and webshop development, applications and platforms, artificial intelligence and automation solutions, creative content, branding, digital marketing and related digital services.
Specific services, deliverables, prices, deadlines and other project conditions may be described in a quotation, project proposal, order confirmation, subscription or other written agreement between JDMWEBS and the customer. Where such an agreement contains specific terms that differ from these general Terms & Conditions, the specifically agreed terms will apply to that project or service.
2. QUOTATIONS AND ORDERS
Prices or estimates generated through the JDMWEBS Project Configurator are indicative unless explicitly stated otherwise. A final quotation or order confirmation may be provided after the project requirements have been reviewed.
A quotation is only binding after it has been accepted by the customer in the manner specified by JDMWEBS. Any work, functionality or services not included in the accepted quotation or agreement may be charged separately.
Changes requested by the customer after acceptance may affect the price, scope and delivery schedule. JDMWEBS will inform the customer where such changes require additional work or costs.
3. PRICES AND PAYMENT
All prices stated by JDMWEBS are inclusive of VAT and other applicable taxes unless explicitly stated otherwise.
Project work
Unless explicitly agreed otherwise in writing, all projects and project-based purchases require an advance payment of 50% of the total agreed price before JDMWEBS starts the work.
The remaining 50% is due after the customer has approved the completed project and before the project, website, application, platform or other final deliverable is published, launched, transferred or otherwise made available for production use.
JDMWEBS is not required to publish, launch, transfer or deliver the final project for production use until the outstanding balance has been paid in full.
Subscriptions and registrations
Subscriptions, memberships, registrations and other recurring or time-based products or services must be paid in full in advance for the applicable billing or access period, unless explicitly agreed otherwise in writing.
Access to such products or services may begin only after the applicable payment has been received.
Payment terms, payment schedules and accepted payment methods may vary depending on the product, service or project and will be specified in the applicable quotation, order confirmation, invoice or agreement.
Invoices must be paid by the due date stated on the invoice. In the event of late payment, JDMWEBS reserves the right to suspend ongoing work or services and to apply any interest, compensation or recovery costs permitted under applicable Belgian law.
Recurring services or subscriptions may be billed periodically according to the billing frequency selected or agreed with the customer.
Digital products, downloads, digital content, software, applications, templates and other digital deliverables are non-refundable once delivery or access has started, to the extent permitted by applicable law.
Where a consumer has a statutory right of withdrawal, that right will only be lost where the legal requirements for such loss have been fulfilled. Where applicable, the customer will therefore be asked to expressly consent to immediate delivery or access and to acknowledge that the right of withdrawal is lost once performance or delivery of the digital content has begun.
For custom projects, the customer will be given the opportunity to review and approve the final project before final delivery, publication or launch.
Once the customer has expressly approved the completed project and the outstanding balance has been paid in full, the project is considered finally accepted and the agreement in respect of the approved deliverables becomes final, subject to any mandatory rights that cannot legally be excluded.
After final approval, requests for changes, additions or modifications that fall outside the agreed project scope or approved deliverables will be treated as additional work and may be charged separately.
Approval does not affect any mandatory statutory rights relating to defects, conformity or other rights that cannot legally be excluded.
4. PROJECT DELIVERY AND CUSTOMER RESPONSIBILITIES
JDMWEBS will make reasonable efforts to complete projects within the agreed or estimated timeframe. Unless explicitly guaranteed in writing, delivery dates are estimates and may depend on the timely cooperation of the customer.
The customer is responsible for providing all information, content, materials, access credentials, approvals and feedback reasonably required to complete the project.
Delays in providing required information, materials, approvals or feedback may result in corresponding changes to the project schedule.
The customer is responsible for ensuring that all materials supplied to JDMWEBS, including text, images, logos, videos, trademarks and other content, may legally be used for the intended purpose and do not infringe the rights of third parties.
5. REVISIONS AND CHANGES
The number and scope of revisions included in a project may be specified in the applicable quotation, project proposal or agreement.
Revision requests must remain within the originally agreed project scope. Requests that introduce new functionality, additional pages, substantial redesigns or other work outside the agreed scope may be treated as additional work and charged separately.
Where additional work is required, JDMWEBS may provide an additional quotation or inform the customer of the applicable additional costs before carrying out that work.
6. INTELLECTUAL PROPERTY
Unless otherwise agreed in writing, all concepts, designs, source materials, code, methods, templates and other materials created or used by JDMWEBS remain the intellectual property of JDMWEBS until all amounts relating to the project have been paid in full.
After full payment, the customer receives the rights to use the final deliverables for the purposes agreed in the project, subject to any third-party licences or restrictions that may apply.
Third-party software, plugins, fonts, stock images, AI services, themes, libraries or other licensed materials remain subject to the licence terms of their respective owners.
Unless otherwise agreed in writing, JDMWEBS may display completed work in its portfolio, website, social media and promotional materials.
7. THIRD-PARTY SERVICES AND SOFTWARE
JDMWEBS may use or integrate third-party products and services as part of a project, including hosting services, software, plugins, APIs, payment providers, artificial intelligence services, automation platforms and other external tools.
The availability, functionality, pricing and terms of third-party services are controlled by their respective providers and may change independently of JDMWEBS.
Where a third-party service requires a separate subscription, licence or usage fee, these costs are the responsibility of the customer unless explicitly included in the quotation or agreement.
JDMWEBS cannot be held responsible for interruptions, changes, restrictions or discontinuation of third-party services that are outside its reasonable control.
8. HOSTING, MAINTENANCE AND RECURRING SERVICES
JDMWEBS may provide hosting, maintenance, domain management, support, software licences and other recurring services on a monthly, yearly or otherwise agreed billing basis.
The exact services included, billing frequency, price and duration will be specified when the service is ordered or in the applicable quotation or agreement.
Recurring services may automatically renew for successive billing periods where this has been agreed with the customer, subject to applicable cancellation rights and legal requirements.
If a recurring service is cancelled or expires, functionality that depends on that service may become unavailable. This may include hosting, maintenance, updates, licences, integrations or other connected services.
9. CANCELLATION AND TERMINATION
Cancellation and termination conditions may depend on the type of product, project, subscription or recurring service and will be subject to the specific agreement and applicable law.
Where a customer cancels a project after work has started, JDMWEBS may charge for work already performed, costs already incurred and commitments made specifically for the project.
JDMWEBS may suspend or terminate services where the customer fails to meet payment obligations, seriously breaches an agreement or uses the services for unlawful or abusive purposes, subject to applicable law.
Termination does not affect payment obligations or other rights and obligations that arose before the termination date.
10. LIABILITY
JDMWEBS will perform its services with reasonable care and professional diligence.
To the extent permitted by applicable law, JDMWEBS will not be liable for indirect or consequential losses, including loss of profits, revenue, data, business opportunities or reputation, resulting from the use of or inability to use our products or services.
JDMWEBS is not responsible for losses or damages caused by circumstances outside its reasonable control, including failures or changes affecting third-party software, hosting providers, APIs, payment services, AI services, internet services or other external systems.
Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
11. WARRANTIES AND RESULTS
JDMWEBS aims to deliver professional and effective digital solutions, but specific business, marketing, sales, traffic, ranking, conversion or financial results cannot be guaranteed unless explicitly agreed in writing.
Results may depend on factors outside the control of JDMWEBS, including market conditions, competition, customer actions, third-party platforms, search engines, advertising systems and changes in technology.
The customer remains responsible for the final use of the delivered products and services and for decisions made based on information, recommendations or automated outputs.
12. FORCE MAJEURE
JDMWEBS will not be liable for delays or failure to perform its obligations where this results from circumstances beyond its reasonable control.
Such circumstances may include, without limitation, natural disasters, fire, flooding, war, civil unrest, government measures, power failures, internet or telecommunications outages, cyber incidents, labour disputes, failures of hosting or cloud providers and interruptions or changes affecting essential third-party services.
Where such circumstances occur, the affected obligations may be suspended for the duration of the event and JDMWEBS will make reasonable efforts to resume the services as soon as reasonably possible.
13. PRIVACY AND DATA PROTECTION
JDMWEBS processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR).

Where a service provided by JDMWEBS involves the processing of personal data on behalf of the customer, additional data processing terms may apply where required by law.
14. APPLICABLE LAW AND JURISDICTION
These Terms & Conditions are governed by Belgian law.
In the event of a dispute, the parties will first attempt to resolve the matter amicably.
If an amicable solution cannot be reached, disputes will be submitted to the competent courts in Belgium, subject to any mandatory rules regarding jurisdiction and consumer protection that may apply.
15. CHANGES TO THESE TERMS & CONDITIONS
JDMWEBS may update these Terms & Conditions from time to time to reflect changes in our products, services, business practices or applicable legal requirements.
The most recent version will always be published on this page. The date at the top of the page indicates when these Terms & Conditions were last updated.
Changes will not affect rights or obligations that have already arisen under an existing agreement, unless otherwise agreed or required by applicable law.
